Waterloo Hydrogeologic Inc. retains the ownership of this copy of the software. This copy is licensed to you for use under

the following conditions:

I. Copyright Notice

This software is protected by both Canadian copyright law and international treaty provisions. Therefore, you must treat

this software JUST LIKE A BOOK, with the following single exception. Waterloo Hydrogeologic Inc. authorizes you to make
archive copies of the software for the sole purpose of backing-up our software and protecting your investment from loss.

By saying "JUST LIKE A BOOK", Waterloo Hydrogeologic Inc. means, for example, that this software may be used by

any number of people and may be freely moved from one computer location to another, so long as there is NO POSSIBILITY of
it being used at one location while it is being used at another. Just like a book can’t be read by two different people in two
different places at the same time.

Specifically, you may not distribute, rent, sub-license, or lease the software or documentation; alter, modify, or adapt the

software or documentation, including, but not limited to, translating, decompiling, disassembling, or creating derivative works

II. Warranty

Waterloo Hydrogeologic Inc. warrants that, under normal use, the material of the CD-ROM and the documentation will be

free of defects in materials and workmanship for a period of 30 days from the date of purchase. In the event of notification of
defects in material or workmanship, Waterloo Hydrogeologic Inc. will replace the defective CD-ROM or documentation.

The remedy for breach of this warranty shall be limited to replacement and shall not encompass any other damages,

including but not limited to loss of profit, and special, incidental, consequential, or other similar claims.

III. Disclaimer

Except as specifically provided above, neither the developer(s) of this software nor any person or organization acting on

behalf of him (them) makes any warranty, express or implied, with respect to this software. In no event will Waterloo
Hydrogeologic Inc. assume any liabilities with respect to the use, or misuse, of this software, or the interpretation, or
misinterpretation, of any results obtained from this software, or for direct, indirect, special, incidental, or consequential damages
resulting from the use of this software.

Specifically, Waterloo Hydrogeologic Inc. is not responsible for any costs including, but not limited to, those incurred as a

result of lost profits or revenue, loss of use of the computer program, loss of data, the costs of recovering such programs or data,

IV. Infringement Protection

Waterloo Hydrogeologic Inc. is the sole owner of this software. Waterloo Hydrogeologic Inc. warrants that neither the

documentation, infringes upon or violates any patent, trademark, copyright, trade secret, or other proprietary right.

Royalties or other charges for any patent, trademark, copyright, trade secret or other proprietary information to be used in

the software and documentation shall be considered as included in the contract price.

V. Governing Law

This license agreement shall be construed, interpreted, and governed by the laws of the Province of Ontario, Canada, and

the United States. Any terms or conditions of this agreement found to be unenforceable, illegal, or contrary to public policy in any
jurisdiction will be deleted, but will not affect the remaining terms and conditions of the agreement.

VI. Entire Agreement

This agreement constitutes the entire agreement between you and Waterloo Hydrogeologic Inc.

Generally, we reply to all technical support questions within one business day, however
please allow up to two business days for a response.

If your question is of a "How do I...?" type, the above information is generally
sufficient. However, if you are reporting a bug (especially one that causes a system
crash) or are having technical problems with the program please provide the following
additional information:

• a list of your current hardware setup,
• what operating system you are using (Win95/Win98/WinNT/2000/ME/XP)
• the amount of RAM on your system,
• the amount of free hard disk space remaining on your machine, and
• a detailed description of when and how the problem occurs.

If we are unable to reproduce your problem, or are otherwise unable to solve it, we may
ask you to send us a copy of your project files.

Obtaining your Permanent License

Prior to reading this document, please ensure that you have reviewed and understood
the Visual MODFLOW Installation Guide that outlined instructions for installing
Stand-Alone and Network licenses.

NOTE: The following instructions are for a Stand-Alone installation. If you are
registering a Network Client installation, then you must open the VMOD installation
on the Server computer, since this computer retains the licensing information. Please
ensure that you have this computer open, and then follow the instructions below.

After successfully installing Visual MODFLOW (VMOD) on your computer for the
first time, you will be able to run a fully functional, temporary licensed copy for 15
days. After 15 days, the program will REVERT to a DEMO version that is unable to run
new simulations. To obtain a fully functional program you must register the software
license.

NOTE: If you are re-installing VMOD on the same computer then you will not receive
the 15-day temporary license. When opening the software after re-installing, the
program will immediately revert to DEMO - Do Not Panic. Please follow the
instructions below.

Registering Your License

To register your software license you need to take the following steps:

Start VMOD from the Start Menu or desktop icon. The FIRST TIME you run the
program you will receive the following message:

NOTE: In order to view the registration windows properly, you must set your
Windows font size to small. See Windows on-line help for details.

To register immediately click on [Yes] and you will be transferred to the License
Control
dialogue window; otherwise click on [No]. A 15-day fully-functional
temporary license will be created.

NOTE: If you have exceeded the 15-day temporary license period OR are re-
installing the program on the same computer the following message will appear.

The DEMO version of VMOD is fully-functional with the exception that the
numerical engines have been disabled and no new models can be run. To operate
the software beyond the 15-day trial period, you must register and obtain your
Site Key from Waterloo Hydrogeologic (WHI).

From the VMOD Main menu, click [Setup] then [License].

A License Control dialogue window similar to the figure below:

In this dialogue window, you will see two fields: one which contains a Site Code,
and a blank field in which you will enter a Site Key.

The Site Code is an alphanumeric code generated automatically by VMOD that is
computer-specific (i.e. the Site Code is different for EVERY installation of the
software). This code needs to be sent to WHI via the internet, e-mail, or fax.

The Site Key is an alphanumeric key that WHI generates and sends to the user
AFTER receiving the Site Code.

For each Site Code, there is only ONE matching Site Key. Moving, copying, and/
or re-installing the software WILL CHANGE the Site Code, and thus will
invalidate your Site Key.

Click on [Get Site Key]. To register your license, you have 3 options as seen in
the figure below:

You can submit your Site Key request via:

• Web Page – links to our on-line registration form

• Email – automatically opens your email system

• Fax – allows you to print and fax your request

If these options do not work with your computer, please call +1 519-746-1798 to
register your license.

Choose the desired option now to send the Site Code to WHI.

Please be sure to include your name, company name, software serial number,
installation type (Stand-Alone or Network Server), AND the Site Code. A WHI
technical support representative will respond to your request within one-two (1-2)
business days and provide you with a Site Key.

NOTE: Please DO NOT change your Visual Modflow installation after you
have sent your Site Code
(ie. DO NOT reinstall the software or change your
current computer configuration).

Please wait until you have received your Site Key from WHI before
proceeding with these instructions.

Once you have received your Site Key, copy this string and paste this in the Site
Key
field in the License Control dialogue window.

Then click on [Register] to complete the license setup.

The following window should then appear confirming your valid Site Key entry.

Click [OK] to close this window.

NOTE: After registering your software the Site Code will change - THIS IS AS
DESIGNED - Do Not Panic - proceed with the section below to verify your
license.

Verifying Your License

Once you have registered your Site Key, please re-open the License Control
dialogue window to verify that you have received the proper software license.
To do this, from the Main Menu of VMOD click [Setup] then [License]. In the
License Control dialogue window, press the [Advanced] button. The following
License Control dialogue will appear (yours will be similar if registered
correctly).

If the information indicated on your License Control dialogue window appears
correctly, then select [OK]. If the information does not appear to be correct, please
contact a WHI technical representative to clarify the problem.

Please read the following brief chapter that covers Managing your License, as well as
the final chapter that deals with Frequently Asked Questions & Troubleshooting.

IMPORTANT: Before you upgrade your computer’s hardware, change the
Operating System (OS), or move the VMOD installation to another directory,
please see Chapter 2 - Managing your Current License.

Managing your Current License

Please NOTE: For the purposes of this document, the term “Original
Computer refers to the computer that currently has Visual MODFLOW
installed. The term “New” Computer refers to the computer where the
Visual MODFLOW license will be moved to.

The following are scenarios in which you would need to replace your Visual
MODFLOW license:

• If you purchase a new computer, and would like to install your existing Visual

MODFLOW license on this new computer

• If you change (upgrade) your operating system
• If you format your hard drive
• If you install the software on a different computer
• If you re-install the software in a different directory on the SAME computer

Any of the above actions may corrupt your current license, which will cause the
software to revert to DEMO mode. To avoid this problem, you have two options for
managing your Visual MODFLOW license:

Option 1:

Remove (Kill) the Existing license and reinstall Visual MODFLOW

(Recommended).

• a) Kill license on Original computer
• b) Send Kill Code to WHI
• c) Perform one of the above actions
• d) Re-install Visual MODFLOW, and request new Site Key

Transfer your Existing license from one machine to another

• a) Verify permanent license on Original Computer
• b) Install Visual MODFLOW software on New Computer
• c) Remove temporary license on New Computer
• d) Prepare diskette (Register Transfer - using New Computer) to receive license

from Original Computer

• e) Transfer license OUT from Original Computer
• f) Transfer license IN to New Computer

Detailed Descriptions of these two options are provided in the following sections.

OPTION 1: Uninstall (Kill) Existing License and Re-install
Visual MODFLOW

On your Original computer, open Visual MODFLOW, and click on [Setup], then
[License], from the Main menu:

The following message will appear - click [OK].

The “Kill License Confirmation Code” (Kill Code) will appear, as shown in the
following figure. WRITE DOWN the Kill Code, then click [OK] to confirm the
license kill:

NOTE: The 'Kill License Confirmation Code' can also be found in the
'killcode.txt' file located in the VMODNT directory (or your specific
installation directory).

IMPORTANT: You MUST send this Kill Code to the Waterloo Hydrogeologic
Technical Support Department (techsupport@flowpath.com). The Kill Code
verifies that your license has been uninstalled, and ensures that the software is not
being used on more than one machine at the same time. If you do not send the Kill
Code, and you apply for a replacement Site Key, your request will be subject to a
Site Key Replacement charge.

Once you have Killed your Existing license, and sent the Kill Code to
our Technical Support Department, you may install Visual
MODFLOW again, and submit a new Site Key request as instructed in
the previous chapter.

OPTION 2: Transfer Existing License

If you prefer, you may Transfer your Existing license from one machine to another.

Please NOTE: The License Transfer process requires specific steps to be completed in
the correct order:

• a) Verify Existing license on Original Computer
• b) Install Visual MODFLOW software on New Computer
• c) Remove temporary license on New Computer
• d) Register the License Transfer Media (using New Computer) to receive

license from Original Computer

• e) Transfer license OUT from Original Computer
• f) Transfer license IN to New Computer

If you do not follow these steps exactly as described, you may lose your Existing
license. As noted previously, if you do not send a Kill Code when applying for a
replacement Site Key, your request will be subject to a Site Key Replacement charge.

WHI recommends that, unless you are completely familiar with the Transfer process,
you use Option 1 to replace your Visual MODFLOW license.

The following instructions explain the License Transfer procedure in detail:

On your Original computer, open Visual MODFLOW, and click on [Setup] then
[License] from the Main menu:

From this window, you can see that there is 1 Copy of the license
registered on the Original computer, which you want to transfer to a
New computer.

Once installed, open Visual MODFLOW (on the New computer) and click on
[Setup] then [License] from the Main Menu:

The following License Message will appear. Click [NO] when prompted to obtain
your permanent license.

NOTE: If this is the first time Visual MODFLOW has been installed,
then a temporary 15-day license will be generated for you. This license
must be removed (Killed) before the New computer can accept the
Transferred license.

If this is NOT the first time, then the following window will appear,
and the software will revert to DEMO mode.

If the above window appears, then click [OK] to continue.

If the License Control window is not already open, click [Setup] then [License]
from the Main Menu, to open the License Control dialogue window. Then click
the [Advanced] button to expand the window. Once expanded, click the [Kill
License]
button:

The following window will appear - click [OK] to Kill the Temporary license.

The Kill License Confirmation Code will appear, as shown in the following
figure. Click [OK] to confirm the License Kill:

NOTE: The ’Kill License Confirmation Code’ can also be found in the
’killcode.txt’ file located in the VMODNT directory (or your specific
installation directory).

Once completed, your display should appear as seen below:

NOTE: If the ’Register Transfer’ button cannot be seen in the above
dialogue window, then you must change the system font settings. To
do so, click Start/Settings/Control Panel and open the Display
option. Depending on your operating system, the location of the font
size option may be in a slightly different location. For WinNT users,
select the Settings tab and switch the font size to ’small’. If you can not
locate this option, please consult your Windows online help for more
information.

Now that we have removed the temporary license from the New
Computer, we are ready to use it to prepare the Transfer Disk to accept
the license from the Original Computer.

The software license can be transferred to any medium that has read-
write access (e.g. a floppy diskette, a hard drive, a zip disk, etc.).
These instructions will describe the procedure for transferring a license
using a floppy diskette.

NOTE: Both computers must have access to the transfer medium.

[10] To continue, insert a BLANK diskette into the New computer:

[12] You will then be prompted to select a location to save this file:

Select the appropriate drive (e.g. drive A:\ if you are using a floppy
diskette) and then press [OK].

[13] At this point, you should then see the following dialogue window to confirm the

License Transfer registration:

Click [OK] to continue.

The floppy diskette is now registered to receive the license from the
Original computer.

[14] Once completed, remove the diskette from the New computer, and insert into the

Original computer.

[15] Click [Setup] then [License] (to load the License Control dialogue window) on

the Original computer. Then click the [Advanced] button, if this window is not
already open.

[16] Click the [Transfer Out] button from the Original computer’s License Control

dialogue window.

[17] Now select the drive that you will use (e.g. A:\ if you are using a floppy diskette)

and then press [OK]. A dialogue window will appear confirming the license
transfer out. Click [OK].

The floppy diskette now contains the license information.

[18] Once completed, remove the diskette from the Original computer, and insert into

the New computer.

dialogue.

Then select the drive on which you have transferred the license (drive A:\ in this case)
and then press [OK].

A dialogue window will appear confirming the successful license
transfer. Click [OK].

Visual MODFLOW is now licensed on the New computer.

[20] Once completed, the Copies field will display ’1 Copy’ which indicates the license

has been transferred from the diskette to the New computer. Your License
Control
dialogue window on the New computer should now be similar to the one
shown above.

As a result of the license transfer, the license on the Original computer has now been
reverted to DEMO mode, and the 1 copy of the fully-functional license is now regis-
tered on the New computer.

Frequently Asked Questions & Troubleshooting

Moving Visual MODFLOW Program Files

The Visual MODFLOW (VMOD) software license manager stores licenses on a
directory-specific basis. The licensing system uses an encrypted file that resides in the
same directory as Visual MODFLOW. Therefore, it is very important that you DO NOT
move Visual MODFLOW installation files to a different directory or to another
computer without first transferring the license. See “Chapter 2 - Managing your
Current License”
.

Recovering From a System Crash

Since the software license manager uses an encrypted file system, the software license
is vulnerable to loss during a system crash, or if your hard disk were to become corrupt.
If you lose your software license authorization due to a system crash or a corrupted
disk, you will need to obtain a replacement Site Key.

NOTE: Waterloo Hydrogeologic, Inc.(WHI) is not responsible for a loss of your
VMOD license due to computer malfunction. In most cases, a free replacement Site
Key
is available at the discretion of WHI. Additional replacement Site Keys can be
obtained at a cost of 50% of the regular price of the software.

Using Norton Utilities’ Speed Disk

Speed Disk is the defragmentation utility included in Symantec’s Norton Utilities.
Unfortunately, this program moves system files by default. The problem is that Speed
Disk will move the software licensing files, causing a loss of the VMOD license.

To control the licensing, the Visual MODFLOW software license manager uses the
following four licensing files

WHI_VMOD.ENT,
WHI_VMOD.KEY,

WHI_VMOD.RST and
WHI_VMOD.41S.

These files are declared as hidden system files and reside in the same directory as
Visual MODFLOW.

To prevent damage to your VMOD license while running Speed Disk, please do the
following:

Open Speed Disk and choose File|Options|Customize|Unmovable Files.
Specify that the *.ENT, *.KEY, and *.RST files cannot be moved.
Speed Disk can now be run without affecting the software licensing. The *.41S files do
not need to be specified.
Remember to do a File|Options|Optimization|Save to save the new Speed Disk
profile.
Then run Speed Disk using then new profile, and your VMOD licensing files should
now remain in tact.

Using Windows Defrag

The Windows Defrag utility works in a similar fashion as Norton Speed Disk, in that it
will re-arrange files on your computer’s hard drive to improve operating efficiency.
Unfortunately, this can result in the VMOD license files being moved to a new location,
and can result in a loss of the license. Therefore, if it is necessary that you run Windows
Defrag on your computer, then it is recommended that you first transfer your VMOD
license out to a Temporary computer. Then make the necessary adjustments to your
Main (Primary) computer. And once finished, transfer your license from the
Temporary computer back in to your Main computer. For instructions on how to do
this, please refer to “Chapter 2 - Managing your Current License.”

Changing the Clock

Changing the time on your computer’s clock by more than one hour and fifteen minutes
will automatically invalidate your 15-day trial period software license.

Working With Removable Hard Disks

The software license manager will work on an Iomega Jaz drive.

It WILL NOT work on any other removable hard drives.

Frequently Asked Questions

Q: Why does my Site Code change after I install my Site Key?

A: The software protection recognizes that you have entered a Site Key. This
automatically changes your Site Code, however will not affect your license.

Q: If I change computers and install Visual MODFLOW, the Site Code is different.
Why?

A: The Site Code always changes when you install Visual MODFLOW on a different
computer. The Site Code is computer specific. If you wish to use Visual MODFLOW
on a different computer, you must either transfer out your license or purchase an
additional copy.
